Terms for the ContextSign service.

These terms govern organizational use of the ContextSign hosted service and administration portal. The Outlook add-in software is also subject to the separate End User License Agreement.

Business service

ContextSign is offered to businesses, public bodies, and other organizations, not to consumers for personal or household use. The person accepting these terms represents that they have authority to bind the customer organization. A signed order, Marketplace order, or other written agreement with Digital David AG may add to or vary these terms and prevails to the extent of a conflict.

1. Provider and agreement

The service provider is Digital David AG, Weserstraße 4, 60329 Frankfurt am Main, Germany, registered with Amtsgericht Frankfurt am Main under HRB 121238, VAT ID DE337018659 ("Digital David"). Contact: hello@digitaldavid.io.

The agreement consists of the applicable order or subscription, these terms, the EULA for client software, the privacy notice, and any executed data processing, support, or service-level agreement.

2. Service

ContextSign provides a hosted administration and policy service and a Microsoft Outlook add-in for selecting and writing approved email signatures. Administrators configure companies, sender identities, signature content, rules, privacy controls, approvals, and releases. The exact features, entitlements, users or seats, support, term, and fees are those stated in the applicable order.

ContextSign is not an email delivery service, records-management system, marketing-automation service, or substitute for the customer's legal review. It does not guarantee that every message sent outside a supported Outlook compose runtime contains a signature.

3. Accounts, tenant administration, and authority

  • The customer appoints administrators and is responsible for their authority, role assignments, authentication controls, and actions.
  • Users must access only organizations and companies to which they are assigned and must keep credentials and devices secure.
  • The customer must promptly disable access that is no longer authorized and notify Digital David of suspected compromise.
  • A Microsoft 365 administrator is responsible for add-in assignment, required consent, supported client configuration, and avoiding conflicting signature writers.

4. Customer configuration and lawful use

The customer is responsible for:

  • the accuracy, rights, and legal approval of sender, company, brand, image, link, legal, directory, audience, and campaign content;
  • providing required notices and establishing a lawful basis for personal data it instructs ContextSign to process;
  • obtaining any consent required for optional analytics and honoring withdrawal, suppression, objection, and data-subject rights;
  • testing and approving releases before assigning them beyond the intended population; and
  • its Microsoft 365 licenses, tenant configuration, networks, devices, Outlook versions, and third-party systems.

The customer must not use ContextSign for unlawful, deceptive, infringing, discriminatory, malicious, or unsolicited communication, or configure signatures that impersonate another person or entity.

5. Prohibited conduct

Users must not:

  • probe, disrupt, overload, or bypass security, tenant isolation, entitlements, role controls, rate limits, or release gates;
  • introduce malware, active content outside supported schemas, or data the customer has no right to process;
  • reverse engineer or derive source code except where applicable law expressly permits it despite this restriction;
  • resell, sublicense, or provide the service bureau-style unless the order expressly permits it; or
  • use the service or its output to benchmark or build a competing product in a way that violates applicable law or Digital David's intellectual-property rights.

6. Fees, subscriptions, and changes

Fees, billing period, currency, taxes, renewal, seat quantity, and cancellation follow the applicable order. For a transactable Microsoft Marketplace subscription, Microsoft's commercial marketplace terms and billing process also apply. Digital David does not select a paid plan or change a seat quantity on the customer's behalf without an authorized order or lifecycle instruction.

Except where an order says otherwise, fees are exclusive of taxes and non-refundable to the extent permitted by law. Digital David may adjust future-term pricing or packaging with the notice required by the order or applicable law; a change does not retroactively alter a prepaid committed term.

7. Availability, support, and changes to the service

Digital David will provide the service with reasonable professional care and the support stated in the order. Support channels and safe diagnostic instructions are published at /support. Specific availability, response, or recovery commitments apply only when stated in an executed service-level or support agreement.

Digital David may update the service for security, interoperability, performance, legal compliance, or product improvement. It may remove or replace a feature when reasonably necessary, while avoiding a material reduction in the core subscribed service during a committed term unless required by law, security, Microsoft platform changes, or an agreed migration.

8. Data protection and confidentiality

Each party will protect the other's non-public business information using reasonable care and use it only for the agreement. Confidential information does not include information independently developed, lawfully received without duty, already known without duty, or public through no breach.

Personal data is handled as described in the ContextSign privacy notice and any applicable data processing agreement. The customer must not put mail content, credentials, access tokens, special-category data, or unrelated personal data into support requests or configuration fields not intended for that data.

9. Intellectual property and feedback

Digital David and its licensors retain all rights in ContextSign, documentation, service designs, software, and improvements. The customer retains its rights in customer content and grants Digital David a limited right to host, process, reproduce, and transmit that content only as needed to provide, secure, and support the service.

If the customer provides feedback, Digital David may use it without restriction or payment, provided it does not identify the customer or disclose customer confidential information without permission.

10. Suspension and termination

Digital David may suspend affected access when reasonably necessary to address a security threat, unlawful use, material breach, unpaid fees, expired or suspended entitlement, or a Microsoft platform requirement. Where practical, Digital David will limit the suspension and give notice and an opportunity to cure.

Either party may terminate for uncured material breach after reasonable written notice, or as otherwise allowed by the order. Subscription cancellation and renewal follow the applicable order or Marketplace flow. On termination, access ends and customer data is exported or deleted under the agreement, privacy obligations, and documented retention controls. Terms that by nature should survive do survive, including payment, confidentiality, intellectual property, disclaimers, liability, and dispute provisions.

11. Warranties and disclaimers

Digital David warrants that it will provide the service with reasonable professional care and that, during a paid committed term, the service will materially conform to its then-current documentation. The customer's exclusive contractual remedy for a reproducible breach is correction or re-performance; if Digital David cannot remedy a material breach within a reasonable time, the customer may terminate the affected service and receive any refund required by the order or law.

Except for express warranties and mandatory statutory rights, the service is provided without implied warranties. Digital David does not warrant uninterrupted operation, compatibility with every Outlook or third-party configuration, legal sufficiency of customer content, or delivery of a signature through clients and systems outside the supported and documented boundary.

12. Liability

Nothing in these terms limits liability that cannot lawfully be limited, including liability for intent, gross negligence, injury to life, body, or health, fraudulent concealment, or a mandatory product liability claim. For slight negligence, Digital David is liable only for breach of an essential contractual obligation and only for the typical, foreseeable damage. Unless the order sets a different lawful cap, aggregate liability for such slight-negligence claims is limited to the fees paid or payable for the affected service during the twelve months before the event giving rise to the claim. The same limitations apply to Digital David's employees, representatives, and agents.

13. Third-party platforms

ContextSign depends on Microsoft 365, Outlook, Entra, optional Graph services, and hosting providers. Those services are governed by their providers' terms. Digital David is not responsible for a third-party service change, suspension, or outage outside its reasonable control, but will use reasonable efforts to operate supported integrations and communicate material impact. ContextSign is not a Microsoft product and Microsoft does not sponsor or endorse it.

14. Governing law and disputes

German law applies without its conflict-of-law rules and without the United Nations Convention on Contracts for the International Sale of Goods. If the customer is a merchant, public-law entity, or public-law special fund, the exclusive place of jurisdiction is Frankfurt am Main, Germany. Mandatory jurisdiction and consumer protections, if they apply despite the business-only scope, remain unaffected.

15. General

Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. The customer may not assign the agreement without Digital David's written consent, except with substantially all relevant business assets and provided the assignee is not a competitor and can perform the obligations. Digital David may use affiliates and subcontractors while remaining responsible as stated in the agreement.

Notices relating to breach or termination must be in text form to the contract contacts. If a provision is unenforceable, it is adjusted or removed only to the minimum extent necessary; the rest remains in effect. A failure to enforce is not a waiver. The agreement is the entire agreement for its subject and can be amended only as permitted by its change process or in writing by authorized representatives.
